For your information, Spotworks is Business line of Edgefactory Private Limited which is a company incorporated under the Companies Act, 2013, having its registered office in India (hereinafter referred to as “We” / “Spotworks” / “Us” / “Our”). The Spotworks Platform and underlying technology services are powered by mostedge.com.

These terms and conditions/terms of use ("Terms") govern the access and use of the Spotworks platform via www.spotworks.com ("Site") and/or any related mobile software applications (collectively referred to as the “Spotworks Platform”) powered by mostedge.com, and the services offered therein ("Services").

2. Acceptance of Terms

Your access to and use of the Spotworks Platform shall be governed by these Terms and the Privacy Policy of Spotworks. By accessing the Spotworks Platform, registering, or undertaking any transaction, you agree to be bound by these Terms. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services.

These Terms may be updated periodically by Spotworks without prior notice. You are advised to review these Terms each time you access the Spotworks Platform. The terms ‘visitor(s)’, ‘user(s)’, ‘you’, ‘your’, or ‘customer(s)’ refer to any individual or entity accessing or using the Spotworks Platform.

3. Services Overview & Delivery Options

The Spotworks Platform, powered by mostedge.com, serves as an e-commerce marketplace for users to purchase products or services offered by Spotworks, its affiliates, or independent third-party sellers (“Third-Party Sellers”).

3.1 Delivery Options: Customers may choose between Instant Delivery (express fulfillment within an estimated time window) or Scheduled Delivery (selecting a designated time slot for fulfillment) at their option during checkout, subject to service availability in their delivery location.

3.2 Third-Party Marketplace Facilitator: Spotworks acts as a facilitator and is not a party to any bipartite transaction between you and Third-Party Sellers. Spotworks and its technical service provider, mostedge.com, make no representations or warranties regarding third-party products or services, including quality, merchantability, or fitness for a particular purpose, and disclaim all liabilities associated therewith. Services are available only in select geographic areas across India.

4. Eligibility

4.1 Persons who are "incompetent to contract" under the Indian Contract Act, 1872, including minors and undischarged insolvents, are ineligible to use the Spotworks Platform. Minors (under 18 years) may use the platform only under the supervision of a parent or legal guardian. Minors are strictly prohibited from purchasing adult-only products, including tobacco products.

4.2 The Spotworks Platform is intended exclusively for end-consumers purchasing for domestic/self-consumption. Wholesalers, retailers, or commercial business-to-business (B2B) entities are not eligible to use the platform.

5. Account & Registration Obligations

5.1 To place orders, users must register and log in to the Spotworks Platform. You are responsible for keeping your registration details accurate and current. By registering, you consent to receive transactional, promotional, and operational communications from Spotworks via SMS, phone calls, WhatsApp, email, or in-app notifications. You may update your communication preferences at any time in your account settings.

5.2 Personal data collected during registration and use of the platform will be processed in accordance with Spotworks’ Privacy Policy.

6. Payment Facility & Payment Partners

All transactions on the Spotworks Platform must be made in Indian Rupees (INR).

6.1 Payment Gateway Partner: Online payments—including debit cards, credit cards, Net Banking, and Unified Payments Interface (UPI)—are processed primarily through our official payment banking partner, ICICI Bank Limited, and/or other RBI-approved payment aggregators.

6.2 Nature of Facility: The payment facility provided by Spotworks is an automated electronic payment facilitation system powered by mostedge.com infrastructure and using existing banking infrastructure/card network arrangements. It does not constitute a banking or financial service directly rendered by Spotworks.

6.3 Third-Party Terms: By choosing an online payment method, you agree to be bound by the applicable user terms, privacy policies, and transaction fee structures established by ICICI Bank or the relevant card issuer/banking institution.

6.4 Cash on Delivery (Future Availability): Cash on Delivery (COD) is currently not offered as a payment method. However, Spotworks reserves the right, at its sole discretion, to introduce Cash on Delivery as a payment option in the future for select locations, product categories, or order thresholds. Any applicable COD terms and conditions will be communicated at the time of such launch.

7. Limited License & Access

7.1 Spotworks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Spotworks Platform for personal, non-commercial purposes. You may not download, modify, duplicate, frame, reverse engineer, or exploit any portion of the platform or its intellectual property without explicit prior written permission from Spotworks.

7.2 You are strictly prohibited from posting, uploading, or transmitting any content that is unlawful, harmful, defamatory, infringing, obscene, threatening, or contains software viruses. Spotworks reserves the right to terminate access or remove non-compliant content immediately without prior notice.

8. Pricing, Taxes, & Service Charges

8.1 Pricing: Prices and Maximum Retail Prices (MRP) for products listed are inclusive of applicable taxes under prevailing Goods and Services Tax (GST) laws, unless stated otherwise.

8.2 Service Charges: Transactions may be subject to delivery fees, handling charges, surge charges, or platform fees ("Service Charges") based on the selected delivery option (Instant or Scheduled), which will be itemized and displayed during checkout prior to payment.

8.3 Invoicing: Tax invoices cum bills of supply will be generated by the respective sellers/service providers and made available in your account order summary upon fulfillment.

9. Order Cancellation, Returns, & Refunds

9.1 Cancellations: Cancellation requests are subject to approval by Spotworks. Spotworks reserves the right to cancel orders due to stock unavailability, logistical challenges, technical errors, or suspected fraudulent transactions.

9.2 Returns: Products are generally non-returnable unless delivered in a damaged, defective, expired, or incorrect state, or if a specific return policy is listed on the product page. Proof (such as images/videos) must be submitted within specified timelines.

9.3 Refund Processing: Approved refunds for electronic payments (Credit Card, Debit Card, UPI, Net Banking) will be processed back to the original payment source account via ICICI Bank payment systems within 7 working days.

10. Intellectual Property Rights

All content, logos, service marks, software, technology, designs, and text on the Spotworks Platform (including platform components provided or powered by mostedge.com) are the exclusive property of Spotworks, mostedge.com, their affiliates, or their respective brand licensors. Unauthorised use or reproduction of any intellectual property is strictly prohibited.

11. Limitation of Liability & Disclaimers

11.1 The Spotworks Platform and Services are provided on an "as is" and "as available" basis without express or implied warranties of any kind. Spotworks and mostedge.com shall not be liable for any indirect, incidental, punitive, or consequential damages.

11.2 To the maximum extent permitted under applicable law, Spotworks’ total aggregate liability for any claims arising out of a transaction shall be limited strictly to the refund of the money charged for that specific order.

12. Governing Law & Dispute Resolution

These Terms shall be governed by, interpreted, and construed in accordance with the laws of India. Any legal suits, actions, or proceedings arising out of or relating to these Terms or the Spotworks Platform shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
